SKS Centre for Legal Disputes Management and Strategy LLP

By accessing or using any of the SKS Centre for Legal Disputes Management and Strategy LLP (“SKS Centre for Legal Disputes Management and Strategy LLP ”) online facilities including, without limitation, www.LEXITS.in, mobile applications, social media sites and any other digital services or facilities operated or used by SKS Centre for Legal Disputes Management and Strategy LLP from time to time (collectively referred to as the “Sites”), you agree to comply with and be bound by these Terms of Use (“Terms of Use”).

Please read these Terms of Use carefully as well as the Privacy Policy. If you do not agree to the Terms of Use or Privacy Policy, you must immediately terminate use of the Sites.

Subject to the Terms of Use, SKS Centre for Legal Disputes Management and Strategy LLP allows you to only access and makes personal non-commercial use of the Sites. This Terms of Use constitute an electronic contract between [SKS Centre for Legal Disputes Management and Strategy LLP ], an Indian Limited Liability Partnership Firm with its registered office at D-75 East of Kailash, Lower Ground Floor, New Delhi, India-110065 (“SKS Centre for Legal Disputes Management and Strategy LLP ”) and you. The terms “you” and “your” in uppercase or lowercase shall mean the user of the Site.

SKS Centre for Legal Disputes Management and Strategy LLP reserves the right to revise these Terms of Use at any time in its sole discretion by posting revised Terms of Use to the Sites. Your use of the Sites signifies your acceptance of all the terms and conditions contained within the Terms of Use posted at the time of your use. You will be responsible for regularly reviewing the Terms of Use posted to the Sites.

Registration

You may be required to create an account as a part of the registration process to use the Sites. You will create a login credentials by choosing a password and providing an e-mail. You will be also required to provide certain information, during the registration process. You warranty that such information provided by you during the registration process is true, accurate, current, authorized, and complete in all aspect. If there is any change in the information provided by you, you shall update the same.

Unless otherwise expressly allowed, each registration is for a single user only. You are not allowed to share your registration login credentials or give your login credentials to anyone else. We may cancel or suspend your access to the Sites, if you share your login credentials. You are responsible for maintaining the confidentiality of your password. You shall not use login credential of any other person without that person’s authorization. Failure to comply with the foregoing may result in immediate suspension or termination of your account. You shall notify SKS Centre for Legal Disputes Management and Strategy LLP immediately, if you have noticed any breach or unauthorized use of your account.

Proprietary Rights

The contents of the Sites including, without limitation, (i) SKS Centre for Legal Disputes Management and Strategy LLP ’s trademarks, service marks, logos, brand names, trade names and other distinctive identification; and (ii) information, data, texts, materials, interfaces, computer code, databases, products, services, software applications and tools, text, images, photographs, audio and video material, including podcasts, and artwork, and (iii) the design, structure, selection, compilation, assembly, coordination, expression, functionalities, applications, look and feel, and arrangement of any content contained in or available through the Site (the items identified in subsections (i) (ii) and (iii) shall be collectively referred to herein as “Contents”). The Contents are the property of SKS Centre for Legal Disputes Management and Strategy LLP or its licensors and are protected under Indian laws including laws relating copyright, trademark and other intellectual property rights. You shall not modify, publish, transmit, participate in the transfer or sale of, reproduce, create new works from, distribute, perform, display (including framing and inline linking), communicate to the public or in any way exploit, any of the Contents in whole or in part. With respect to Contents that are either judgments, orders, laws, regulations or articles, you may copy and download them for your personal and non-commercial use only, provided that you maintain all copyright and other notices contained therein.

User Obligation

You warrant that you shall not:

Violate any applicable local, state and central laws and regulations while using the Site.
Provide incomplete, inaccurate, untrue or unauthorized information while submitting any information to the Site .
Impersonate any person or entity, real or fictitious, while using the Site;
Interfere with the use of the Site by others or interfere with the operation of the Site;
Use the Site in any manner which unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, hateful, racial or otherwise objectionable;
Upload, post or otherwise make available in the Site any material, which infringe any third party intellectual property rights;
Unless otherwise permitted, use the Site for any promotional activities or advertisement purpose or to send unsolicited communication (including spams, bulk mails, messages, etc) ; and
Upload, download, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

User Material

You may be allowed to provide your views, comments, feed back, opinion, articles, images, video or advertising materials on the Sites. You are solely responsible for the material you submit. You shall ensure that such material comply with applicable law and you are affirming that you alone created or own the materials submitted by you and no one else has any rights to it or could claim they own it or that it infringes on rights of others. SKS Centre for Legal Disputes Management and Strategy LLP does not approve, endorse, or adopt any material submitted by the others, and assumes no liability whatsoever. You will indemnify and hold harmless SKS Centre for Legal Disputes Management and Strategy LLP against all third party claims, demands and actions brought against SKS Centre for Legal Disputes Management and Strategy LLP , which arises from or relates to the materials submitted by you.

SKS Centre for Legal Disputes Management and Strategy LLP could use views, comments, feed back, opinion, articles, images, video etc. submitted by you for its internal and external purpose including for marketing; you understand and acknowledge that this information is available to the public and grant SKS Centre for Legal Disputes Management and Strategy LLP a nonexclusive license to display, reproduce, transmit, modify such content. You understand that you won’t have the right to approve how we use such contents submitted by you.

(i) the Sites or any Contents are complete, accurate, reliable or non-infringing;

(ii) access to the Site will be uninterrupted, timely, secure, or error free;

Also, when filling out a form on our site, you may be asked to enter your: name, e-mail address or phone number. In case you have submitted your personal information and contact details, we reserve the rights to Call, SMS, Email or WhatsApp about our products and offers, even if your number has DND activated on it and you agree for the same.

Termination

SKS Centre for Legal Disputes Management and Strategy LLP may, in its sole discretion, terminate or suspend your access to all or part of the Sites for any reason, including, without limitation, breach of any of the condition of these Terms of Use.

Governing Laws and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India. In the event of any dispute between the parties, such dispute shall be settled through arbitration through a single arbitrator appointed by SKS Centre for Legal Disputes Management and Strategy LLP in accordance with Arbitration & Conciliation Act of 1996 or any amendment or replacement thereof. The seat of arbitration shall be at Kolkata and the language of arbitration shall be in English. Any award rendered pursuant to such arbitration shall be final and conclusive.Subject to aforesaid, courts in India shall have jurisdiction over this Terms of Use.

Notice of Copyright Infringement

If you believe that any Content on the Site has been copied in a way that constitutes copyright infringement, please intimate use immediately with clear description of the copyrighted work that you claim has been infringed to the following address: info@lexits.in.

Miscellaneous

Our failure to enforce any provision of these Terms of Use or to respond to a breach by you shall not in any way constitute a waiver of our right to enforce subsequently any terms or conditions of these Terms of Use or to act with respect to similar breaches.

Nothing in Terms of Use shall constitute any partnership or agency relationship between SKS Centre for Legal Disputes Management and Strategy LLP and you.

If any provision of the Terms of Use is held invalid by any law or regulation of any government, or by any court or arbitrator, the parties agree that such provision will be replaced with a new provision that accomplishes the original business purpose, and the other provisions of the Terms of Use will remain in full force and effect.

SKS Centre for Legal Disputes Management and Strategy LLP shall have no liability to you for any interruption or delay, to access the Site irrespective of the cause.

SKS Centre for Legal Disputes Management and Strategy LLP makes no claims regarding access or use of the Sites Content outside India. If you use or access the Sites or Content outside India, you do so at your own risk and are responsible for compliance with the laws and regulations of your jurisdiction as well as these Terms of Use.

The User represents that it is either a body corporate duly incorporated under the laws of India or a citizen of India with capacity to contract under the laws of India.
The User undertakes that the User has been allowed access to LEXITS Services & ODR Services on the Portal subject to the User undertaking not to do any of the following under any circumstances:a. use or attempt to use the systems of SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP by way of any automated means, or take any action that, in the view of SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP , causes or potentially may cause an unreasonable or disproportionate load on the servers or network infrastructure of SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP ; to clarify, the foregoing will not be applicable to any action taken by a User with the prior consent of SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP;

b. bypass any computer program or system used by SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP that intended to distinguish human input from machine input, prevent spam or automated extraction of data, robot exclusion headers or other measures that restrict access to the LEXITS Services & ODR Services or data contained in the Website or the Portal, or use any software, technology, or device to scrape, spider, or crawl the Website, the Portal, or the systems of SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP or harvest or manipulate data of SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP or any users of the LEXITS Services & ODR Services;

c. provide false, misleading, deceptive, fabricated or inaccurate evidence purposefully, testimony or witness statements or use the LEXITS Services & ODR Services for any unlawful or illegal purpose;

d. engage in communication or post any material on the Website or the Portal that is abusive, offensive, threatening, obscene, defamatory, casteist, sexist, pornographic, inciting violence, or otherwise victimises or intimidates an individual or group on the basis of religion, gender, sexual orientation, race, caste, ethnicity, age, or disability, other than to the extent that such material constitutes an essential and indispensable part of the claims, pleadings or counter-claims of the User submitted in relation to an active Dispute;

e. use another user’s account on the Portal without permission or authorisation; to clarify, in the case of an institutional user with multiple accounts, all the accounts of the institutional user shall be deemed to be the accounts of the same user for the purpose of this clause;

f. provide false, fabricated, misleading, or inaccurate information during account registration;

g. destabilise, attempt to destabilise, interfere with or attempt to interfere with the proper functioning of the Portal or the LEXITS Services & ODR Services by using or accessing the Portal or the LEXITS Services & ODR Services through means other than what SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP has provided;

h. publish or link to malicious content intended to damage or disrupt another user’s browser or computer;

i. modify, translate, download, print, archive, display, adapt, enhance, decompile, disassemble, reverse engineer, exploit commercially or otherwise, create derivative works from, make copies or create archives of the Website, the Portal or any content thereon for any purpose, except as explicitly permitted as part of the LEXITS Services & ODR Services made available in relation to the Active Dispute or as agreed with SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP ; to clarify, the foregoing will not be applicable to any action taken by a User with the prior consent of SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP ;

j. facilitate the use of the Website, the Portal or the LEXITS Services & ODR Services by or to the benefit of, any unauthorised third parties;

k. abuse, ‘stalk’, harm, threaten, impersonate, harass, deceive, any other person or entity through the use of the Portal, the Website or the LEXITS Services & ODR Services;

l. hack, infiltrate or otherwise seek to gain unauthorized access to, or compromise the integrity of, the Website or the Portal;

m. breach or attempt to breach the security of software, network, servers, data, computers or other hardware relating to the Website or the Portal or that of any third party that is hosting or interfacing with any part of the Website, the Portal;

n. Violate any applicable local, state, national or international law or regulation.
The User acknowledges and agrees that:

a. the User is not aware of any ground to believe that it will derive any mala fide or illegitimate benefit by use of LEXITS Services & ODR Services, the Website or the Portal in relation to the active Dispute;

b. the User is solely liable to SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP for the service fees associated with the application or use of the LEXITS Services & ODR Services in relation to the active Dispute, regardless of any outcome of such application or use of the LEXITS Services & ODR Services;

c. the User shall make best endeavours to provide to SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP and any DRP appointed by SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP , all information, data, content, messages, graphics, drawings, sound and image files, photographs, recordings, software and, in general, whatever type of material as is sought by SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP or the DRP in relation to the active Dispute, to the extent the same is available with the User in order to expedite the resolution of the Active Dispute;

d. the User has all the necessary equipment, systems, connectivity, resources, capabilities, understanding, competency, technological and other awareness to use the LEXITS Services & ODR Services in relation to the active Dispute in a fair, just and transparent manner;

e. SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP shall not be responsible for any malfunctions, errors, crashes or other adverse events that is solely attributable to the User’s use of the Website or the Portal;

f. the Website, the Portal, any software owned or developed or used by SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP (Software) in relation to the LEXITS Services & ODR Services and all right, title, and interest in such Website, Portal and software shall be the sole property of SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP and any licensors of SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP , if any;

g. the User’s use of, access to, the Website, the Portal, the Software, hereunder constitute a limited license from SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP to the User, to use the LEXITS Services & ODR Services made available on the Portal in relation to the Active Dispute as contemplated hereunder, and that the User has no other rights or interest in, or claim over the Website, the Portal, the Software or any other intellectual property of SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP whatsoever;

h. SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP does not solicit nor does it wish to receive any confidential, secret or proprietary information, personal data, or other material from the User through the Portal, by e-mail, or in any other way, which is not required for resolving an Active Dispute. Any confidential, secret or proprietary information, personal data, any ideas, concepts, methods, systems, designs, plans, techniques or other similar materials submitted or sent by the User to SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP , in relation to an Active Dispute (User Content)through the Portal, by e-mail, or in any other way are subject to any applicable privacy obligations of SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP under the PP or any separate written agreements entered into by SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP with the User; SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP does not review, filter, pre-screen, monitor, or otherwise edit User Content posted, or otherwise made available to any other person, on or through the Portal; however, SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP reserves the right (but assumes no obligation) to, at its sole discretion, refuse, filter out, pre-screen, edit or remove any User Content, in whole or part, that, does not comply with these ToU, is illegal, or is otherwise undesirable or inappropriate from any members’ forum, public forum, message boards or comments sections on the Website or the Portal that can also be accessed by persons other than the User, SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP and the DRPs;

i. All communications and evidence related to intake, case assessment, settlement discussions, negotiation and mediation conducted through / via SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP , at the Platform itself or SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP initiated video hearings, phone calls or other discussions, will remain confidential in the interests of furthering settlement. The Parties further agree that neither party shall take any action that will harm the reputation of any of the other, or which would reasonably be expected to lead to unwanted or unfavourable publicity to either of the Parties or entities. This confidentiality clause does not apply to facts, communication, documentation or other information received or gathered outside of the SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP dispute resolution process.
Without prejudice to any other rights of SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP, SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP may, at any time, limit, suspend, or revoke the User’s access to the Website, the Portal or the LEXITS Services & ODR Services if the User is in breach, or if SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP has reason to believe such User is in breach, of these ToU. SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP may change, add or remove any of the LEXITS Services & ODR Services or features available on the Portal, or may discontinue the Portal as a whole, at any time. However, SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP will not discontinue any feature or LEXITS Services & ODR Service for which a User has already paid Fees to SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP without mutual agreement with such User, unless SKS CENTRE FOR LEGAL DISPUTES MANAGEMENT AND STRATEGY LLP replaces such feature or LEXITS Services & ODR Service with a different feature or LEXITS Services & ODR Service that has the same effect as such discontinued feature or LEXITS Services & ODR Service under applicable law.
